Introduction
Welcome to ECI Link (hereinafter referred to as "ECI Link" or the "Platform"). This Platform is owned and operated by EC Innovations, Co. Ltd. and its affiliated and controlled subsidiaries (collectively referred to as "ECI" or the "Company"). Before accessing or using this Platform, please be sure to carefully read and fully understand the entire contents of this ECI Link User Service Agreement (hereinafter referred to as "this Agreement").
The ECI Link Service Level Agreement, the ECI Link Order and Payment Agreement, and the ECI Link Privacy Policy all constitute inseparable parts of this Agreement and carry the same legal effect as this Agreement. In the event of any conflict between these documents: for specific transaction matters, the ECI Link Order and Payment Agreement shall prevail; for personal information processing, the ECI Link Privacy Policy shall prevail.
By logging in, browsing, uploading files, submitting orders, or otherwise using the services of this Platform in any manner, you are deemed to have read, understood, and agreed to be bound by all the terms and conditions of this Agreement. If you do not agree to any provision of this Agreement, please immediately stop using the Platform.
Article 1 Scope of Application and Acceptance of the Agreement
1.1 This Agreement applies to:
(1) Your registration of an account and use of the ECI Link Platform;
(2) Your access to and use of the services of this Platform, including but not limited to using the Platform's standardized products, customized services, and API access and opening features through your account.
1.2 Please read carefully and fully understand all the contents of this Agreement before accessing or using this Platform. By registering an account, checking "I have read and agree to the ECI Link User Service Agreement", or otherwise using this Platform, you are deemed to have read, understood, and agreed to be bound by all the terms of this Agreement, the ECI Link Privacy Policy, and the ECI Link Order and Payment Agreement. If you do not agree to any content of any agreement, please immediately stop the registration process and do not access or use this Platform.
1.3 This Agreement is executed in both Chinese and English: The Chinese version shall apply to matters involving services within China and governed by Chinese laws; the English version shall apply to matters involving cross-border services and international arbitration. The two versions have different scopes of application and cannot substitute for each other.
Article 2 Definitions
2.1 ECI Link: refers to the enterprise-grade machine translation platform independently developed by ECI, including its official website, applications, APIs, and all related functional modules, algorithm models, software codes, interface designs, and technical documentation.
2.2 User: refers to the individual or organization (including but not limited to enterprises, government agencies, public institutions, or other legal entities) that registers an ECI Link account and accepts this Agreement, as well as the individuals authorized by the Users to access this Platform using the said account (hereinafter collectively referred to as "User" or "you").
2.3 Account: refers to the identity identifier established for a User on ECI Link for logging in and using the Platform services.
2.4 Content: refers to any text, document, data, or other material uploaded, submitted, input, or processed by the Users through this Platform for the purpose of machine translation (hereinafter collectively referred to as "User Content").
2.5 Translation Output: refers to the machine translation results, translated texts, output texts, and related metadata generated after processing the User Content through this Platform.
2.6 Services: refers to the machine translation and related features provided by ECI through the Platform, including but not limited to standardized products, customized services, and API access.
2.7 Trial Period: has the meaning set forth in Article 3 of this Agreement.
2.8 Paid Features: refers to the non-manual software features provided on the Platform that require payment of subscription or usage fees, subject to the applicable order agreement.
2.9 ECI Link Model: refers to the algorithm models, language models, translation engines, data training methods, model parameters, model architectures, and related technologies and trade secrets independently developed or legally licensed by ECI for providing the machine translation services on the Platform, including but not limited to the built-in translation models, language processing models, quality assessment models, and their relevant training data, validation data, and testing data on the Platform.
Article 3 Trial Period
3.1 After user registration, ECI shall provide Users with a free trial period of fifteen (15) calendar days starting from the date of account activation (hereinafter referred to as the "Trial Period"). During the Trial Period, Users may access and use the platform features made available by ECI.
3.2 Upon expiration of the Trial Period, if the Users have not purchased Paid Features in accordance with the ECI Link Order and Payment Agreement, their access to the Platform shall be suspended. ECI may, at its sole discretion, decide whether to extend the Trial Period upon the Users' written request.
3.3 During the Trial Period, ECI does not provide any form of service warranty and reserves the right to adjust the scope of trial features at any time.
3.4 Users shall comply with all terms of this Agreement when using this Platform during the Trial Period.
Article 4 Paid Features and Orders
4.1 After the expiration of the Trial Period, Users must submit orders through this Platform (each an "Order") to access and use the Paid Features. For specific terms regarding Paid Features and orders, please refer to the ECI Link Order and Payment Agreement.
Article 5 Account Registration and Management
5.1 Account Registration: Users shall provide accurate and complete registration information. ECI will review the submitted information and activate the account for the User upon approval. ECI reserves the right to determine whether to approve the registration application in accordance with the provisions of this Agreement and its reasonable business judgment. If the application is rejected, ECI shall inform the User of the reasons within a reasonable time (except where disclosure is prohibited by law).
5.2 Account Security: Users shall bear full responsibility for all activities occurring under their account. Users shall properly safeguard their account credentials (including but not limited to the username, password, etc.), and shall not transfer, lend, or authorize any third party to use their account in any form. Users shall immediately notify ECI upon discovering any unauthorized use of their accounts.
5.3 Organizational (Enterprise) Users: If the User is an organization (such as an enterprise), the individual registering the account on behalf of the organization represents and warrants that they have the authority to bind the organization to this Agreement and to add the organization's personnel as authorized users. The organization shall bear joint and several liabilities for the actions of all its authorized users.
5.4 Suspension and Termination of Accounts: If a User violates this Agreement or applicable laws and regulations, ECI reserves the right to suspend or terminate the User's account access privileges after notifying the User and providing a reason. In emergency situations (including but not limited to account security threats, system attacks, and the dissemination of illegal content), ECI may take preliminary suspension measures and provide supplementary notice within a reasonable period.
Article 6 User Code of Conduct
6.1 When using this Platform, Users shall comply with all applicable laws and regulations (including but not limited to the laws and regulations of the People's Republic of China, the laws and regulations of the User's jurisdiction, and any applicable international rules). Users undertake and warrant that:
(1) The User Content uploaded is lawful and compliant, and does not infringe upon any third party's intellectual property rights, trade secrets, personal privacy, right of reputation, right of portrait, or other legitimate rights and interests;
(2) Users shall not use the Platform to engage in any fraud, money laundering, terrorist financing, cyberattacks, or other illegal or criminal activities;
(3) Users shall not reverse engineer, decompile, crack, tamper with, interfere with, disrupt, or gain unauthorized access to the Platform's software, systems, networks, or ECI Models;
(4) Users shall not use the Platform or any output obtained through the Platform to develop, train, or improve any product or service that competes with or substitutes ECI Link;
(5) Users shall not use automated means (including but not limited to crawlers, scripts, bots, etc.) to access the Platform in a high-volume or high-frequency manner beyond the scope of reasonable use, unless prior written consent has been obtained from ECI or such access is made through an API within the agreed limits;
(6) Users shall not delete, obscure, or alter any copyright notices, trademark logos, proprietary rights notices, or other legal notices contained in the Platform or the Translation Output.
6.2 If the User breaches the aforementioned warranties, resulting in any third-party claims, complaints, or government investigations, the User shall bear full responsibility and indemnify ECI for all losses suffered as a result (including but not limited to reasonable attorney's fees, litigation costs, arbitration fees, administrative fines, settlement payments, and loss of goodwill).
6.3 The User shall not present Translation Output as human‑translated results to any third party, nor shall the User delete or alter the machine translation marks of ECI Link.
Article 7 Intellectual Property
7.1 Platform Intellectual Property: All intellectual property rights of this Platform (including but not limited to software code, algorithms, model architectures, model parameters, interface designs, logos, trademarks, patents, technical solutions, documentation, and any components of ECI models) are the exclusive property of ECI and its licensors, and are protected by the laws of the People's Republic of China and international intellectual property conventions. ECI Link is independently developed by ECI, and ECI owns the complete intellectual property rights of this Platform. Nothing in this Agreement shall constitute a transfer or license to the User of any rights to use the intellectual property of this Platform (except for the limited access and usage rights expressly granted in this Agreement).
7.2 Special Protection of ECI Models
(1) The ECI Models (including but not limited to their architecture, parameters, weights, training methods, optimization algorithms, and all related technologies) constitute ECI's core trade secrets and intellectual property. Users shall not, by any means (including but not limited to model distillation, knowledge transfer, prompt engineering extraction, API call extraction, or any other technical methods), copy, extract, reconstruct, imitate, or reverse engineer all or any part of the ECI Models.
(2) Users shall not use the Translation Output to train, fine-tune, or otherwise develop any algorithmic models, neural networks, or artificial intelligence systems that compete with or substitute for ECI Link.
(3) Users shall not engage in any form of attack, contamination, data poisoning, or malicious manipulation against the ECI Models, nor shall they use User Content or Translation Outputs to engage in any activities that may impair the performance, security, or reliability of the ECI Models.
7.3 Intellectual Property in User Content: The intellectual property rights in the text and other content uploaded by the User shall remain with the User or their original rights holders. The User grants ECI a non-exclusive, royalty-free, worldwide license to process, reproduce, and store User Content solely for the purpose of providing the Services under this Agreement to the User.
7.4 Intellectual Property in Translation Output: Upon full payment of all applicable fees by the User, the intellectual property rights in the Translation Output shall belong to the User. The User shall be solely responsible for the use of the Translation Output, and shall bear full responsibility for its accuracy, legality, and applicability.
7.5 Usage Data: ECI may collect and use anonymized, aggregated usage data derived from the User's use of the Platform (including but not limited to usage frequency, feature preferences, and performance metrics) to improve the performance and functionality of the Platform, optimize ECI Models, and conduct statistical analysis and research, provided that such data does not identify the User or any individual, nor does it contain any information that can be reverse-engineered into User Content. The User hereby grants ECI a perpetual, royalty-free, worldwide, and irrevocable right to collect and use such anonymized data.
7.6 Feedback: ECI may freely use, reproduce, modify, and implement any suggestions, comments, ideas for improvement, or other feedback provided by the User to ECI regarding the Platform, without paying any fees or bearing any obligations to the User.
Article 8 Privacy and Data Protection
8.1 ECI attaches great importance to user information security and personal information protection. Users' personal information and User Content will be processed strictly in accordance with the ECI Link Privacy Policy, which constitutes an integral part of this Agreement.
8.2 ECI will adopt industry-standard organizational and technical security measures to protect User Content against unauthorized access, disclosure, alteration, or destruction. The encryption, storage, transmission, and destruction of User Content shall comply with ECI's internal data security management policies.
8.3 If the User Content contains personal information, the User guarantees that they have obtained lawful authorization from the relevant data subjects for the upload and processing of such personal information (including but not limited to informed consent, separate consent, etc., subject to the specific authorization forms required by applicable laws), and that such processing complies with all applicable personal information protection laws and regulations. If the User Content contains sensitive personal information, the User shall obtain separate consent from the relevant data subjects prior to uploading.
8.4 If the User needs to use this Platform to process data subject to special regulations (including but not limited to personal health and medical data, financial credit information, children's personal information, biometric information, etc.), the User shall contact ECI in advance and execute a separate specific data processing agreement.
Article 9 Service Availability and Technical Support
9.1 ECI will use commercially reasonable efforts to ensure the basic availability of the Platform. However, ECI makes no warranty that the operation of the Platform will be uninterrupted, error-free, or entirely secure.
9.2 ECI reserves the right to suspend the Platform's services for maintenance, upgrades, or security purposes. ECI will make reasonable efforts to notify Users in advance of planned service interruptions, except for emergency security maintenance.
Article 10 Limitation of Liability
10.1 The Translation Outputs of the Platform are automatically generated by artificial intelligence models and are solely for Users' internal reference and auxiliary use. They shall not be relied upon as the sole basis for decision-making or as professional advice. Before using the Translation Outputs, Users shall conduct an independent review of the content based on their own professional judgment and actual needs.
10.2 To the maximum extent permitted by applicable law, the total cumulative liability of ECI to the User for breach of contract, tort, or any other legal liability arising out of or relating to the User Agreements (including this Agreement, the ECI Link Privacy Policy, and the ECI Link Order and Payment Agreement) shall be capped at the total fees actually paid by the User to ECI for the Paid Features of the Platform during the twelve (12) months immediately preceding the event giving rise to the claim.
10.3 Under no circumstances shall ECI be liable to the User for any indirect, incidental, special, or consequential damages, or for any loss of goodwill or loss of profits.
10.4 Nothing in this Agreement shall exclude or limit any liability that cannot be excluded or limited under applicable law.
10.5 ECI shall not be held liable for breach of contract for any service delays, data loss, or inaccessibility caused by force majeure events (including but not limited to natural disasters, war, terrorist attacks, government acts, changes in laws and regulations, large-scale cyberattacks, power outages, telecommunication service interruptions, and other events beyond the reasonable control of ECI), provided that ECI shall promptly notify the User of the occurrence of such event and take reasonable remedial measures.
Article 11 Indemnification
11.1 The User agrees that in the event of any third-party claims, lawsuits, investigations, or penalties arising from the User's breach of this User Agreement, violation of applicable laws and regulations, or infringement of third-party rights, the User shall indemnify ECI and its affiliates (if applicable) for all losses suffered as a result (including but not limited to reasonable attorney's fees, litigation costs, arbitration fees, administrative fines, settlement amounts, and loss of goodwill).
Article 12 Term and Termination
12.1 This Agreement shall become effective on the date of acceptance by the User and shall remain in effect until terminated upon the cancellation of the account.
12.2 Users may cancel their accounts at any time by contacting ECI. Upon account cancellation, ECI will handle the User's retained personal information and User Content in accordance with the ECI Link Privacy Policy. Account cancellation shall not affect the User's payment obligations for confirmed orders.
12.3 If a User materially breaches any term of the User Agreement, ECI may immediately terminate this Agreement or suspend the User's access to this Platform upon written notice to the User. Users may raise an objection within fifteen (15) days after receiving the termination notice. Failure to raise an objection within this period shall be deemed as acceptance of the termination.
12.4 Upon termination of this Agreement, the User's right to access and use the Platform shall terminate immediately. Users shall be responsible for saving their own User Content and Translation Outputs. ECI shall be under no obligation to retain or provide User Content following the termination of this Agreement. Provisions that by their nature should survive termination (including but not limited to intellectual property, limitation of liability, indemnification, confidentiality, governing law, and dispute resolution) shall survive the termination of this Agreement.
Article 13 Modification of Agreement
13.1 ECI reserves the right to modify this User Agreement. For material modifications, ECI will notify Users in advance via platform announcements, in‑platform notifications, or registered email addresses.
13.2 If a User does not agree with the modified content, they may contact ECI to stop using this Platform and cancel their account. If a User continues to use this Platform after ECI provides notice of agreement modifications, such continued use shall be deemed as acceptance of the modifications.
Article 14 Applicable Laws and Dispute Resolution
14.1 The conclusion, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.
14.2 Any dispute arising from or in connection with this Agreement shall first be resolved by both parties through friendly negotiation. If the negotiation fails, either party shall have the right to submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its arbitration rules in effect at the time of the application for arbitration. The seat of arbitration shall be Hong Kong. The arbitration proceedings shall be conducted in English and heard by a sole arbitrator. The arbitral award shall be final and binding upon both parties.
Article 15 Miscellaneous
15.1 If any provision of this Agreement is held to be invalid or unenforceable, the validity of the remaining provisions shall not be affected. Any invalid or unenforceable provision shall be interpreted as valid and enforceable to the maximum extent permitted by law.
